An international start-up specialising in mVas provider services and online property advertising.
Single-handedly managed over 10 organisations within the holding company.
Corporate law:
- Reorganised the holding company (changing the founder, director and name) within the IFZA and RAKEZ in Dubai.
- Organised the establishment of a private fund in Liechtenstein, thereby optimising taxes by
40%.
- Drafted a shareholders’ agreement under the laws of Dubai and the US, and a private family SHA between
individual shareholders.
- Established an operating company in Cyprus and an investment company in Delaware, USA.
- Drafted a phased plan for the issuance and dilution of the start-up’s shares whilst retaining a controlling
stake for the beneficiary, including seed, ESOP, SAFE and dual-class share instruments, thereby
raising $22 million in investment.
Contract law:
- Built from scratch a system of employment relations and a mechanism for paying employees from
countries subject to sanctions, and optimised the tax burden on such payments.
- Drafted new standard contracts for advertising in the Russian Federation and MENA, thereby reducing the
Holding’s costs for working with advertising agencies and advertising fees by 3%.
Administrative and Financial Law Division:
- Registered the Holding’s Russian software with Rospatent and the Ministry of Digital Development, thereby securing a preferential
0% VAT rate on its sale;
- Registered the company as a Skolkovo resident, securing a 0% VAT and income tax rate.
